Customer Acceleration Fund Program Rules

  1.  General Rules. These rules (“Rules”)  apply generally to the Customer Acceleration Fund Program (the “Program”) sponsored by Twilio.org/ Twilio Inc., (“Sponsor”), may be offered in English to 501(c)(3) within the healthcare, education, and humanitarian aid sectors that want to work with the Sponsor. Each honoree under this Program will receive technical consulting services worth up to $25,000 USD and will be featured in a December 2024 Twilio blog as a Customer Acceleration Fund honoree (“Prize”). The amount awarded will depend on the use detailed in each submission but at a minimum each honoree will receive a minimum of $5,000. 

    2. Program Dates: Applications will be received and reviewed on a rolling basis through midnight December 31, 2024. 

    3. Sponsor: The Program is  sponsored by Twilio Inc., 101 Spear Street, Suite 500, San Francisco, California, 94105. No purchase necessary to enter or win. Application accepted from May 29, 2024  through December 31 2024. Void where prohibited and restricted by law. Total approximate retail value of all prizes awarded: maximum of $25,000 USD.     4. Eligibility: The program is only available to non-profit 501(c)(3)s, and international 501(c)(3) equivalents who have completed equivalency determination. Applicant (any entity that submits an application is referred to individually as an “Applicant”) must comply with the applicable laws, decrees, regulations, and guidelines of their jurisdiction, and Sponsor will have no obligation to change or modify any of the Official Rules or take any further action as a result of such laws, decrees, regulations, or guidelines of their jurisdiction, except as is otherwise provided in the Rules.

    5. How to Apply: To apply for the Prize, each Applicant must access the Program Website and click on Apply Now, follow the instructions to fill out an online submission form which includes a description of your use case (“Program Submission”) via the form provided on the Program Website. Applicants must read and agree to the Official Rules, and select the “Submit Application” option. Applicants can submit their Program Submission on a rolling basis through December 31st, 2024, 11:59 pm PST.

    6. Judging Criteria: All Program Submissions will be judged by a judging panel composed of five (5) Twilio employees. Judging will be based on judging criteria listed on the Program Website.

    7. Prizes: Applicants will be selected to receive the Prize. For the purposes of these Rules, “Honoree” means any entity selected to receive a Prize. Prizes are non-transferable. No substitution or cash redemptions if applicable. The Prize will be administered directly to each Honoree from Sponsor.

    8. Prize Notification: Each Honoree will be notified by email within sixty (60) days of receipt of Program Submission. Honorees must accept the Prize within two (2) weeks of notification. Honorees may be required to execute certain documents in a timely manner in order to receive a Prize as determined by Sponsor. These documents could include a Declaration of Eligibility, a Liability Release, a Publicity Release, tax forms, and any other documents (“Declaration/Release”).

    9. Publicity: Except where prohibited by law, the Honoree’s application and acceptance of the Prize constitutes permission for Sponsor and/or any related or affiliated Twilio companies (collectively “Program Entities”) to use said winner’s name, photograph, likeness, statements, biographical information, voice, and city and state address for promotional or advertising purposes in connection with Sponsor generally. Both parties can request a takedown in the event of a PR crisis to be executed in a timely manner.

    10. Program Conditions: By participating, and except where prohibited, Applicants agree to be fully and unconditionally bound by these Official Rules and the decisions of the Sponsor and waive any right to claim ambiguity in the Program or these Official Rules. Similarly, and except where prohibited, Applicants and Honorees also agree to release, discharge, indemnify and hold harmless the Sponsor(s) and each of the respective officers, directors, employees, representatives and agents from and against any claims, damages, disability, attorneys’ fees, and costs of litigation and settlement, as well as any liability due to any injuries, damages or losses to any person (including death) or property of any kind resulting in whole or in part, directly or indirectly, from (i) redemption, acceptance, possession, ownership, misuse or use of any Prize or participation in any Program-related activity or participation in this Program, or (ii) printing, distribution or production errors. Sponsor or its affiliates may rescind this Program if found to contain such errors without liability at its sole discretion. Sponsor makes no warranty, representation or guarantee, express or implied, in fact or in law, relative to the use of any Prize, including, without limitation, quality, merchantability or fitness for a particular purpose (unless sponsor provides the prize winner with written warranties). Further, no responsibilities are accepted for any additional expenses, omissions, delays or acts of any government or authority.

11. Restrictions: The Prize consists of only those items specifically described as part of the Prize as described above and on the Program Website. Sponsor may at Sponsor’s sole and absolute discretion provide different prizes of equal or greater value. Except where prohibited by law, Sponsor shall not be liable to any winner or any person claiming through such winner for failure to supply the prize or any part thereof, by reason of any acts of God, any action(s), pandemics or pandemic emergencies, regulation(s), order(s) or request(s) by any governmental or quasi-governmental entity (whether or not the action(s), regulations(s), order(s) or request(s) prove(s) to be invalid), equipment failure, threatened terrorist acts, terrorist acts, air raid, blackout, act of public enemy, earthquake, war (declared or undeclared), fire, flood, epidemic, explosion, unusually severe weather, hurricane, embargo, labor dispute or strike (whether legal or illegal) labor or material shortage, transportation interruption of any kind, work slow-down, civil disturbance, insurrection, riot, cancellation or postponement of any concert or other event, or any other cause beyond Sponsor’s sole control.

12. Limitations of Liability: Except where prohibited by law, neither Program Entities nor Sponsor are responsible for: (1) lost, late, misdirected, undeliverable or incomplete entries due to system errors or failures, or faulty transmissions or other telecommunications malfunctions and/or entries; (2) technical failures of any kinds; (3) failures of any of the equipment or programming associated with or utilized in the Program; (4) unauthorized human and/or mechanical intervention in any part of the application process or the Program; (5) technical or human error which may occur in the administration of the Program or the processing of entries; (6) misprints or typographical errors related to these rules or the Program Website; or (7) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from Applicant’s participation in the Program or receipt or use of any prize. If for any reason an Applicant’s application is confirmed to have been erroneously deleted, lost or otherwise destroyed or corrupted, Applicant’s sole remedy is another application in the Program, and only if the Program has not ended. Sponsor may prohibit an Applicant from participating in the Program or winning a prize if, in its sole discretion, it determines that said Applicant is attempting to undermine the legitimate operation of the Program by cheating, hacking, deception, or other unfair playing practices (including the use of automated quick application programs) or intending to annoy, abuse, threaten or harass any other Applicants or Sponsor’s representatives. If for any reason the Program is not capable of running as planned, including, but not limited to, infection by computer virus, bugs, tampering, unauthorized intervention, fraud, or any other causes beyond the reasonable control of Sponsor which corrupt or affect the administration, security, fairness, integrity or proper conduct of the Program, then Sponsor reserves the right at its sole discretion to cancel, terminate, modify or suspend all or any part of the Program and to select a potential Honorees from among all eligible entries received by Sponsor up until the time of such cancellation, termination, modification or suspension, as applicable. Caution: any attempt by an Applicant to deliberately damage the website or undermine the legitimate operation of the Program may be in violation of criminal and civil laws and should such an attempt be made, sponsor reserves the right to seek civil and/or criminal prosecution and damages (including attorneys’ fees) from any such Applicant to the fullest extent of the law.

13. Privacy Policy: The Sponsor will be collecting, maintaining and using personal data and/or information about Applicants and their employees, in accordance with its privacy notice. Please review the Sponsor's privacy notice policy here. By participating in the Program, Applicants hereby agree to Sponsor's collection and usage of their employee’s personal information and acknowledge that they have read and agree to Sponsor's privacy policy. Except as otherwise required by law, Sponsor and Applicant agree that the Federal Arbitration Act and the substantive laws of the state of California, without reference to its principles of conflicts of laws, will be applied to govern, construe and enforce all of the rights and duties of the parties arising from or relating in any way to the subject matter of the Program. UNLESS APPLICANTS AND TWILIO AGREE OTHERWISE, APPLICANTS  AND TWILIO CONSENT TO THE EXCLUSIVE PERSONAL JURISDICTION OF AND VENUE IN AN ARBITRATION COURT LOCATED IN THE STATE OF CALIFORNIA FOR ANY SUITS OR CAUSES OF ACTION CONNECTED IN ANY WAY, DIRECTLY OR INDIRECTLY, TO THE SUBJECT MATTER OF THESE OFFICIAL RULES OR TO THE PROGRAM. Except as otherwise required by law, including state laws relating to consumer transactions, any cause of action or claims Applicant may have with respect to the Program must be commenced within one (1) year after the claim or cause of action arises or such claim or cause of action is barred.
